This Tool Hosting Agreement (“Agreement”) is entered into between Flint Hills Tool, LLC

(“Company”) and the undersigned equipment owner (“Host”).

Acceptance of Terms:

By listing, delivering, or making equipment available for rental through the Company, the Host

agrees to be bound by this Agreement. A physical signature is not required for enforcement.

The Company operates a marketplace platform for the rental of tools and equipment.

The Host desires to list equipment for rental through the Company’s platform.

The Company acts solely as a facilitator of rental transactions and does not take ownership

or operational control of hosted equipment.

All equipment listed under this Agreement remains the sole property of the Host unless

otherwise agreed in writing.

Nothing in this Agreement transfers ownership to the Company.

The Host is an independent party and not an employee, agent, or partner of the Company.Nothing in this Agreement creates a partnership, joint venture, or agency relationship.

Hosts who already operate an equipment rental business may list equipment through the Company.

Participation in the Company’s platform does not restrict the Host from:

• Operating their own rental business

• Renting equipment independently

• Listing equipment through other lawful channels

Unless otherwise agreed in writing:

• 65% of rental revenue shall be paid to the Host

• 35% shall be retained by the Company

The Company may deduct:

• Payment processing fees

• Refunds or adjustments

• Applicable taxes

Payments shall be made on a schedule determined by the Company.

The Host may designate availability for their equipment.

The Host may block time for personal or business use of their equipment.

The Host agrees not to interfere with confirmed rentals.

The Host is solely responsible for ensuring that all equipment:

• Is in safe working condition

• Is properly maintained

• Complies with all applicable laws and regulations

• Is suitable for rental use

The Company may remove equipment from the platform if it determines the equipment is unsafe or unsuitable.

The Host assumes all legal and financial risk associated with the rental of their equipment.

This includes, but is not limited to:

• Equipment failure

• Misuse by renters

• Injury or death

• Property damage

• Regulatory compliance

The Company does not guarantee how equipment will be used by renters.

The Company acts solely as a marketplace facilitator.

The Company shall not be liable for:

• Damage to equipment

• Equipment malfunction

• Injury caused by equipment• loss of equipment

• Claims arising from rental or use

The Host retains full responsibility for their equipment.

The Host agrees to indemnify, defend, and hold harmless Flint Hills Tool, LLC, its members,

managers, and agents from any claims, damages, losses, or legal expenses arising from:

• The rental or use of the Host’s equipment

• Injury or property damage

• Equipment failure

• violation of laws or regulations

This includes the cost of legal defense.

The Host is responsible for maintaining any insurance they deem necessary.

The Company may require proof of insurance for certain equipment categories.

The Company may assist in facilitating claims between the Host and Customer but does not guarantee recovery.

The Host acknowledges that recovery of damages may depend on:

• Customer payment ability

• Deposit amounts

• Enforcement actions

The Company may:

• Inspect hosted equipment

• Remove equipment from the platform

• Suspend listings

At its discretion if equipment is deemed unsafe or problematic.

While actively hosting equipment through the Company, the Host agrees not to create or operate a competing peer-to-peer or marketplace-style rental platform within the same county.

This restriction does not apply to:

• Independent rental businesses

• Direct rentals by the Host

The Host authorizes the Company to deduct any applicable fees, refunds, or adjustments from rental proceeds prior to distribution.

All disputes shall be resolved through binding arbitration in Pottawatomie County, Kansas.

Arbitration shall be administered by the American Arbitration Association or similar provider.

Each party shall bear their own costs unless otherwise determined.

Waiver

The Host waives:

• Right to jury trial

• Right to participate in class actions

The Host consents to communication by phone, text, or email regarding account activity and platform operations.

This Agreement represents the entire agreement between the parties and supersedes all prior discussions or agreements.

This Agreement shall be governed by the laws of the State of Kansas
